General Terms of Service

1. Who we are

Resemble Systems ("we") provides this service. All customers contract with Resemble Systems, Dubai, UAE. These terms apply to all Resemble Systems plans and add-ons.

2. Plans and billing

Plans are billed annually in advance in US dollars. Add-on automations carry a one-time build fee plus an annual fee. Prices exclude VAT, which is added at the applicable rate.

3. Founding-member offer

Available to the first 10 clients. Founding prices and free setup apply to the first 12 months only. From the start of the second year, the subscription renews automatically at the then-current standard price.

4. Renewal and cancellation

Subscriptions renew automatically each year unless cancelled at least 30 days before the renewal date. Fees already paid for the current year are non-refundable once the service is live.

5. Free pilot

New clients may receive a 7-day pilot before go-live. We may limit usage during the pilot.

6. Usage limits

Chat plans include up to 300 conversations per month (all messages with one person within 24 hours count as one conversation). Voice plans include the voice minutes stated in the plan; additional minutes are billed at $0.50 per minute, monthly in arrears. Sustained usage above plan limits may require an upgrade.

• Fair use: Plans include AI usage for normal business conversations within the stated limits. We monitor usage to keep the service reliable for all clients. If your usage is unusually high or unusual in pattern, such as automated or bulk messaging, very long conversations, or sustained traffic well above your plan limits, we will contact you first. We may then recommend an upgrade or apply reasonable limits until it is resolved.

7. Your responsibilities

You provide accurate, approved business information and keep it up to date; you are responsible for the advice, services and commitments your business gives customers; you keep escalation contacts current; you hold any WhatsApp Business account in your name and pay Meta's messaging fees.

8. AI limitations

Your AI agent is an AI assistant. It answers only from information you approve, but it may occasionally misunderstand or make mistakes. It does not give legal, medical or financial advice.

9. Data

Conversations, recordings and contact details are processed to provide the service and are shared only with you and the service providers we use to run the service. See our Privacy Policy.

10. Availability

We aim for high availability but do not guarantee uninterrupted service; outages of telecom, internet or other third-party services may affect the service.

11. Liability

To the extent permitted by law, our total liability in any year is limited to the fees you paid for that year, and we are not liable for indirect or consequential losses.

12. Governing law

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the courts of Dubai have jurisdiction.
